  • Most common question of franchise owners is - "Is this franchise business profitable?"
  • The franchising world is regulated by the Federal Trade Commission (FTC).
  • An important document that all franchise owners must read is the Franchise Disclosure Document (FDD)
  • The FDD has 23 sections in total but the key section is Item 19 called the Earnings Claim item.
  • Currently only about 20% of franchise companies have an Item 19 in their FDD.
  • According to the FTC, a franchise parent company can only talk about earnings if there is a Item 19 of their FDD. This is why most franchise companies don't talk about earning to prospective owners.
  • Since earning are such an important topic to a potential owner, how do you get earning information? The FTC allows existing franchise owners to talk about ANYTHING to a new potential owner.
  • Questions you may consider asking individual franchise owners include:
  1. Where does most of your revenue come from? - Revenue Model
  2. What are the expense items that cover 80%-90% of your expenses? - real estate, personnel, marketing, etc.

10/27/09 - Piercing the Corporate Veil - How to Avoid Losing Your Home

  • The Corporate Veil are general rules regarding Corporation or LLC (Limited Liability Company) considering an entity separate from its owner so there is not personal liability
  • Some instances court will state owner = alter ego of Corp. and pierce the veil and go after personal assets in order to avoid fraud, injustice or inequitable consequences
  • It does not need to be an individual owner as far a piercing the corporate veil. It can be someone exercising sufficient control over the company, a parent company, a husband of a 100% shareholder of a company and more recently an unaffiliated company that had the ability to control another company.
  • Courts pierce the corporate veil as an equitable remedy or to remedy an injustice.
    There used to be only 3 or 4 factors for piercing the corporate veil but more recently, courts have looked at up to 11 different factors.
  • Examples of factors that courts take a look at are inadequate capitalization, corporate formalities, absence of corporate records, non functioning officers or directors, commingling of funds, diversion of assets to detriment of creditors

  • This week Leo talks about the importance of "Focus" for your business.
  • One of the first issues encountered when Leo helps others when they are starting franchise business is they work hard but are spread in different directions and overall not making progress.
  • One insider secret is to focus just on what produces more progress than working into different directions at the same time. This is usually just 2-3 items at most.
  • Most businessmen are involved in running the business on a day to day basis but are not focusing on the big picture and you sometimes need somebody from the outside to help you focus.
  • Recommended reading "The E-Myth" by Michael Gerber
  • Most owners get stuck in the details and end up working in their business versus on it which should be the role of business ownership.
  • A lot of owners do not know the power of focusing on key priorities and are not aware on the very simple mechanics on how to focus.
  • Step 1 is to make a random list of all projects you are working on and all regular tasks.
  • Studies show that top 3% of goal setters earn more on average, 10 times more in the same period than those that had no written goals.
  • Step 2 is to add the time frame column, revenue impact column, and expense impact column and rank it using 1-3 with one as the highest, two as the middle, 3 as the highest.
  • Step 3 is to sort these items based on timeframe, revenue and expense impact. Magically to the top will pop up the items in your business that will have the most impact in the quickest amount of time.

  • US has shed 7-8 million jobs since the recession December of 2007.
  • The economy has to generate 100,000 jobs per month to keep up with population growth. This is equal to 1.2 million jobs per year.
  • If economy would be able to generate at least 2.15 million jobs a year, best case scenario unemployment will be back to 5% until 2017
  • IHS global insight predicted that it would take until 2019 until we get back to the 5.75% unemployment rate
  • When the economy comes back it will be dramatically different than it was before.

  • I also got a chance to do a lot of reading. This time I brought a stack of books on marketing. I am soaking up more great information for helping my consulting clients get their business on track.
  • Today's topic - putting your best foot forward - selling yourself.
  • How do you put your best foot forward and sell yourself? Confidence!
  • How to you get confidence that lasts? Start by being good at what you do and truly add value to your customers - if you can do this then getting referrals and more business will not be a problem!
  • Position yourself as an expert - build a track record of success. Keep a long term perspective on how to build this track record. Focus first on building a track record BEFORE you try to earn lots of money. I did this with my consulting business.
  • Once you have a track record, get testimonials. If you have added value then getting a testimonial will be easy.
  • Second Insider Secret - if you are having problems selling your services - its NOT THE PRICE! The problem is you need to help clients see your VALUE. Once they see your value, they will be willing to pay whatever price to get the value.

  • Good ideas that are never implemented are just a dream
  • The key to getting your whole organization on the same page is alignment and that all beging with goals - if you don't have a goal then you can't measure your success.
  • Get your goals written down and make them SMART = Specific & Measurable, Achievable, Realistic and Time-driven.
  • Start with setting your long term goals - maybe goals 3 to 5 years from now. Then break these down to annual, monthly and then weekly goals.
  • In measuring your goals you want to set up Key Performance Indicators (KPIs) - they key performance measures you want track.
  • The challenge in creating KPIs is to measure the DRIVERS of your business and not just the results. For example, measuring things like average invoice or customer mix will help you get better visibility into why your sales numbers are not where you want them to be.

2/10/2009--Forming Strategic Business Relationships

  • I can't wait to go biking in the middle of the day. Its going to be a GREAT break. Its 59 F outside - got to take advantage of it!

  • I really want to have the economy turn around quickly. A lot of people are having a hard time right now. However, leaving a debt of almost $900 billion will make things difficult for the next generations. The key is to make sure that we are helping the economy in the most effective and efficient way possible.
  • To put our current troubles into perspective, I also mentioned about previous recessions. The longest recession since WWII has been 18 months. This recession started 12/2007. Therefore, we are in about month 13 of this recession. Is it possible that this recession would naturally correct itself in the next 5 months or so?

1/6/09 - Formulating Your Strategy for Success in 2009 and beyond!

Show Notes: A show which was a bit like a Seinfeld Episode, a little bit of everything, but great focus on setting and measuring your goals!

  • What are the "Big Rocks" you need to focus on for success in 2009?
  • Leo says that 80% of the key to achieving your goals is setting up a measurement system to review progress towards your goals.
  • Measurement is even more important then even setting your goals. When you do set goals - make sure that your goals are based on lifestyle goals - not just financial! Remember WHY you have your business. Yes its to make money but what do you want to do with that money - its your target lifestyle!
  • Set up a regular measurement system.
  • Start with annual goals - where do you want to be by then end of the year. Break these down to quarterly goals, then monthly and maybe even weekly goals. The review your actuals against each of these. Look not only at how you are doing against your goals but also how much progress you have made since your last review. If you are not making the progress you want - adjust!
  • In addition, Leo block's out time on his calendar each week. Items to be done at that time are collected in a paper folder. If an idea comes up, it goes in the folder. When the time comes, the folder is opened, the items in the folder are prioritized and Leo works thru them each week. This discipline is the key to making progress!
